The Best Way to Issue and Collect Signed NDAs from Subcontractors

The best way to issue NDAs to subcontractors is to send one approved template as an e-signature link to the person who can legally bind the sub's company, chase it automatically, and hold back drawings and pricing until it's signed. Then file the signed copy on the subcontractor's record, with the date the confidentiality term ends.

Most NDA problems on construction and service jobs aren't legal ones. They're filing ones: the NDA was signed by the site foreman, sits in a project manager's inbox, and nobody can find it when the sub bids again two years later.

Pick one-way or mutual before you send anything

A one-way NDA protects what you disclose: drawings, client details, your pricing. That's usually all you need when you're inviting subs to bid. A mutual NDA protects both sides, and it fits when the sub will share its own designs, methods or pricing structure with you, as a design-build partner might.

The UK Intellectual Property Office publishes example one-way and mutual NDAs that show the difference clearly. Both leave the length of the confidentiality obligation as a drafting choice, either a set number of years or indefinitely. Decide that with your lawyer once, then fix it in the template.

Fill in the project details, not just the parties

A generic NDA invites a generic dispute. Before sending, fill in:

  • the project or bid it covers, by name and address
  • what counts as confidential (drawings, specifications, client identity, your bid figures)
  • whether the sub may share it with its own sub-subcontractors, and on what terms
  • when documents must be returned or destroyed

That last one is often missing. If a sub doesn't win the work, you'll want your drawings deleted from their server, and the NDA should say when.

Add the clauses the law requires

In the US, if the NDA covers trade secrets, include the whistleblower immunity notice from the Defend Trade Secrets Act. 18 U.S.C. 1833(b) requires it in agreements with employees, defines "employee" to include contractors and consultants, and bars exemplary damages and attorney fees against someone who wasn't given the notice.

In the UK, an NDA can't stop someone whistleblowing, reporting a crime to the police or getting advice as a victim of crime, as Acas sets out. Under the Victims and Prisoners Act 2024, NDAs signed in England and Wales on or after 1 October 2025 can't stop victims of crime making certain disclosures, per GOV.UK's guidance. A clause that tries to will be void, so have your template reviewed if it predates that.

Send it to the person who can sign for the company

Address the signing request to a director, owner or someone with written authority, not the estimator who asked for drawings. A site foreman's signature may not bind the company, and that's the argument you'll hear if the NDA is ever tested.

E-signatures are fine. In the US, the ESIGN Act says a contract can't be denied effect just because it was signed electronically. In England and Wales, the Law Commission concluded in 2019 that an electronic signature can execute a document if the signer intends to authenticate it.

NDA process: approved template, signing link to the named signatory, automatic reminders, filing on the sub record and a diary date for the end of the termTemplate, send, chase, file, diary

Make release of drawings depend on the signature

Your bid portal or file share should stay locked for a sub until the NDA is back. Put that in the invitation email so it doesn't feel personal: "Drawings are released automatically once the NDA is signed."

Set reminders on day 3 and day 7. Most subs who don't sign simply forgot, and a reminder from a system lands better than a call from your estimator chasing a signature on bid day.

⚠️Don't send drawings "just this once" before the NDA comes back. If the sub then refuses your terms, you've disclosed the information without any agreement covering it.

File it on the subcontractor's record

Store the signed PDF, the signing audit trail and the date it was signed on the sub's record, alongside their insurance and licence. Name the project it covers. The next estimator who invites the same sub can then see whether an NDA already covers the new job or whether a fresh one is needed.

Then diary two dates: when the confidentiality term ends, and when you'll ask a sub that didn't win the work to confirm they've returned or destroyed your documents.

Tools that do this for you

DocuSign, Dropbox Sign and PandaDoc will all send and sign an NDA. Our comparison of NDA tools for subcontractors covers prices and which plans include bulk send.

ExpiryEdge is built for the filing and dates part. One no-login link can carry the NDA for signature together with the certificate of insurance and W-9 you'll need anyway. It chases the sub until it's complete, files the signed copy on their record, and reminds you when the term ends. Plans start at $29 a month with a 14-day free trial.

Frequently asked questions

Send one approved template as an e-signature link to someone who can bind the sub's company, set automatic reminders on day 3 and day 7, and release drawings only once it's signed. File the signed copy on the sub's record with the date the confidentiality term ends.

One-way when only you are sharing drawings, pricing or client details, which covers most bid invitations. Mutual when the sub will also share its own designs or pricing methods with you.

A director, owner or employee with written authority to bind the company. A site foreman or estimator may not have that authority, which could leave the NDA open to challenge.

If it covers trade secrets, it should. The Defend Trade Secrets Act requires the immunity notice in agreements with employees and defines employees to include contractors and consultants. Without it, you lose the right to exemplary damages and attorney fees against that person.

You can, but you shouldn't. Once the information is out, an NDA signed later is harder to rely on, and a sub who refuses your terms already has the drawings.
