Terms & Conditions

By accessing or using the Service, the User agrees to comply with and be bound by these Terms and Conditions. If the User does not agree to these Terms and Conditions, the User must not access or use the Service.

The User must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. By using the Service, the User represents and warrants that the User meets these eligibility requirements.

ExpiryEdge is a subscription-based Software as a Service (SaaS) product that provides expiry and notification management services, including but not limited to tracking expiry dates, sending notifications, managing contacts, and organizing important dates. A2E Digital may modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

Users may be required to create an account to access certain features of the Service. The User agrees to provide accurate and complete information when creating an account and to update such information as necessary to keep it accurate and current. The User is responsible for maintaining the confidentiality of the User's account credentials and for all activities that occur under the User's account.

Users may have the ability to submit content to the Service, including but not limited to documents, notifications, and comments ("User Content"). The User retains ownership of User Content but grants A2E Digital a worldwide, perpetual, irrevocable, royalty-free, transferable license to use, reproduce, modify, adapt, publish, distribute, and display User Content in connection with the operation of the Service.

The Service and its content, including but not limited to text, graphics, logos, images, and software, are the property of A2E Digital and are protected by copyright, trademark, and other intellectual property laws. The User agrees not to modify, reproduce, distribute, or create derivative works based on the Service or its content without the prior written consent of A2E Digital.

User agrees not to:

• Violate any applicable laws or regulations;

• Impersonate any person or entity;

• Interfere with or disrupt the operation of the Service;

• Use the Service for any illegal or unauthorized purpose;

• Engage in any form of automated data collection;

• Upload or transmit viruses or any other type of malicious code;

• Attempt to gain unauthorized access to the Service or any related systems or networks.

The User may add contacts (for example colleagues, clients, tenants or suppliers) to the Service and instruct the Service to send them reminders and notifications. The User is solely responsible for these contacts and for the messages sent to them. The User represents and warrants that (a) it is entitled to provide each contact's personal data to A2E Digital, (b) it has a valid legal basis under applicable data protection and electronic communications law (such as the GDPR and national anti-spam rules) to contact each person through each channel used (email, SMS, WhatsApp), and obtained consent where the law requires it, (c) it will only send messages that relate to the deadline, document or obligation concerned and will not use the Service to send advertising, unsolicited bulk messages or spam, and (d) it will promptly remove any contact who objects, unsubscribes or asks not to be contacted.

For personal data of contacts that the User adds to the Service, the User is the controller and A2E Digital acts as processor on the User's behalf and only on the User's documented instructions. The Data Processing Agreement, available on request at support@expiryedge.com, forms part of this Agreement and governs this processing. A2E Digital handles the User's own account, billing and usage data as controller, as described in the Privacy Policy. The User is responsible for informing its contacts about the processing, and for handling requests from contacts to exercise their data protection rights. A2E Digital will reasonably assist with such requests.

Reminder emails sent through the Service include an unsubscribe link. When a contact unsubscribes, the Service stops sending email reminders to that contact for the User's account, and the User must not re-enable email reminders for that contact without the contact's renewed permission. A2E Digital may suspend sending to any contact or account where it receives complaints, where a contact has objected, or where it reasonably suspects a breach of this Agreement or of applicable law.

The Service is a tool to help the User keep track of deadlines. Reminders depend on third-party networks and providers (such as email, SMS and messaging services) and on the accuracy of the data the User enters, so A2E Digital cannot guarantee that a message is delivered, read or acted on in time. The User remains solely responsible for meeting its deadlines, licences, certifications and legal obligations, and should not rely on the Service as its only safeguard.

To the fullest extent permitted by applicable law, A2E Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, in connection with the Service. Nothing in these Terms excludes or limits liability for intent, gross negligence, injury to life, body or health, or any liability that cannot be excluded or limited under mandatory law.

The User agrees to indemnify and hold harmless A2E Digital and its officers, directors, employees, and agents from any and all claims, liabilities, damages, and expenses, including but not limited to reasonable attorneys' fees, arising out of or related to the User's use of the Service or violation of these Terms and Conditions.

These Terms and Conditions are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice of law does not deprive you of the protection afforded by any mandatory provisions of the law of the country in which you have your habitual residence. Any dispute not resolved informally shall be subject to the exclusive jurisdiction of the courts of Germany, unless a mandatory consumer-protection rule requires otherwise.

A2E Digital reserves the right to modify these Terms and Conditions at any time. Modifications will be effective immediately upon posting to the Service. The User's continued use of the Service following the posting of modifications constitutes the User's acceptance of the modified Terms and Conditions.

These Terms and Conditions, together with the Privacy Policy, constitute the entire agreement between the User and A2E Digital concerning the Service and supersede all prior and contemporaneous agreements and understandings, whether written or oral.
